Acceptance of Terms
These Terms of Use ("Terms") are a binding agreement between you and the operator of Strikepad ("Strikepad", "we", "us"), the Strikepad web application at app.strikepad.io (the "Service"); the operator's legal name and postal address are shown before any payment and are available on request to support@strikepad.io. You accept the Terms by checking the "I agree" box when you create an account; that acceptance is recorded server-side together with the version of the Terms in force at that time.
If you do not agree to the Terms, do not create an account or use the Service. The version effective as of October 4, 2026 applies to accounts registered on or after that date; earlier accepted versions continue to govern earlier registrations until you accept a revised version as described in § Modifications.
Eligibility
The Service is offered exclusively to natural persons who are (a) at least 18 years old and (b) residents of the United States of America. The Service is not offered, and may not be used, outside the United States.
By creating an account you represent that you meet both eligibility criteria. Strikepad may terminate accounts that do not, and may decline to provide service in any state or to any person at its discretion.
Description of the Service
Strikepad is a journaling and analytics tool for the user's own options trade history. It lets the user import broker activity (via manual entry or a third-party broker-aggregation service — see § Third-Party Services), reconstruct positions from individual fills, keep notes, and review performance metrics computed solely from the user's own data.
Strikepad does not provide investment, broker, tax, or legal advice and does not make individualized buy, sell, or hold recommendations. It is not a registered investment adviser or broker-dealer and is not affiliated with your brokerage. Historical performance metrics describe trades you have already completed, computed from records you imported; they are statements of past results, not forecasts. Strategy labels describe the structure of a trade, not its merit. Figures for open positions — payoff diagrams, capital at risk, coverage indicators, unrealized profit or loss — are calculations from the position's own terms, your held shares as reported by your brokerage, and third-party quotes that may be delayed or stale as labelled; they are not an assessment of whether a position is a good investment or of what action, if any, you should take.
Accounts and Security
You are responsible for the credentials you use to access the Service, for any activity conducted under your account, and for maintaining the confidentiality of your password. Notify support@strikepad.io promptly if you suspect your account has been compromised.
Strikepad uses bcrypt password hashing, AES-256-GCM encryption at rest for third-party-integration secrets, and TLS in transit. No system is perfectly secure; you should use a unique, strong password and not reuse passwords across services.
Third-Party Services (SnapTrade)
Strikepad uses SnapTrade, a third-party brokerage-aggregation service operated by an unaffiliated company, to connect to your broker. SnapTrade holds the OAuth tokens your broker issues; Strikepad never sees those tokens.
Before linking a broker, you must separately accept SnapTrade's End User Terms and Conditions (https://snaptrade.com/terms-and-conditions) by completing the consent dialog presented at connect time. Your acceptance of SnapTrade's terms is between you and SnapTrade. Strikepad is not responsible for SnapTrade's availability, data accuracy, security incidents on SnapTrade's side, or its relationship with you or your broker. If SnapTrade discontinues service or changes its terms, the Service may degrade to manual-import-only.
Acceptable Use
You may not (a) reverse-engineer, decompile, or otherwise attempt to derive the source of the Service except as permitted by law; (b) scrape, mass-download, or use automated tooling to retrieve data beyond what the Service's user interface and documented APIs provide; (c) create accounts by automated means or operate multiple accounts to evade limits or quotas; (d) use the Service for any unlawful purpose, including violation of securities, tax, or consumer-protection laws; (e) intentionally overload, denial-of-service, or otherwise impair the Service or its third-party providers (including SnapTrade); (f) misrepresent your identity or eligibility.
Violation is grounds for immediate suspension or termination under § Termination.
No Financial Advice
Strikepad is a journaling and analytics tool for the user's own options trade history. It is not investment, broker, tax, or legal advice, and nothing in it is a recommendation or forecast: it does not tell you whether to open, hold, roll, or close any position, and it is not a registered investment adviser or broker-dealer. Options trading involves substantial risk; losses can exceed the premium received and can be unlimited for some uncovered strategies, and past performance does not guarantee future results. You are responsible for all trading decisions and for validating imported data.
Strikepad is a record-keeping and analytics product. It does not assess your individual financial situation, objectives, risk tolerance, or suitability for any particular trade or strategy, and it does not recommend that you take or refrain from any action with respect to securities. Any decision to enter, hold, or exit a position is solely yours.
Consult a licensed financial adviser, broker, tax professional, or attorney before making decisions for which professional advice is appropriate.
Subscriptions and Billing
Strikepad offers a free tier and a paid "Pro" subscription. The features included in each are listed on the pricing page; at launch, Pro adds automated brokerage synchronization. Pro is sold on a monthly or an annual term at the price displayed on the pricing page and again at checkout when you subscribe. Prices are in U.S. dollars. Applicable sales tax, if any, is calculated from your billing address and shown before you pay; there are no other mandatory fees.
Automatic renewal and payment authorization. Your Pro subscription renews automatically at the end of each term for another term of the same length — one month for a monthly plan, one year for an annual plan. By subscribing you authorize Strikepad, through Stripe, to charge the payment method on file at each scheduled renewal time for the then-current price of that term plus applicable tax, until you cancel, and you represent that you are authorized to use that payment method. You may cancel at any time as described in § Cancellation and Refunds; a confirmed cancellation stops future renewals immediately, your paid access continues until the end of the term you have already paid for, and nothing further is charged. Before you subscribe we show these renewal terms and ask you to confirm them, and after you subscribe we send you a confirmation that repeats them together with how to cancel.
Promotional pricing. If you subscribe using a promotional code, the promotional price applies only for the promotional period stated when you subscribe. Promotional codes are entered in the app before you confirm the renewal terms; the checkout page does not accept codes. Before you confirm, we state the standard price that applies after the promotion ends and the date of the first charge at that price; a later change to that standard price is subject to § Price changes below. A promotional subscription renews at that price unless you complete cancellation before the scheduled renewal time. If a promotional price on a monthly plan lasts more than 31 days, we email you before it ends.
Payments are processed by Stripe, Inc. Strikepad never receives or stores your full card number. The checkout and billing-portal pages are hosted by Stripe and are also subject to Stripe's terms and privacy policy.
Failed payments. If a renewal charge fails, we (through Stripe) may retry it for a limited period. If it cannot be collected, your subscription ends and paid features stop; we do not attempt further charges for an ended subscription. Your imported history remains intact and accessible on the free tier.
Price changes. We may change the price of Pro. A price change never applies in the middle of a term you have already paid for. It takes effect on your next renewal only if, between 7 and 30 days before that renewal date, we have emailed you the new price, the date it takes effect, and how to cancel. For an annual plan, the reminders we send before each renewal state the amount of that renewal; a price change decided after those reminders applies to the following renewal, not the one they precede, and is notified 7 to 30 days before that later renewal. If you do not complete cancellation before the scheduled renewal time, the new price applies from that renewal onward; and if you cancel within 14 days after a renewal charged at a new price, we refund that renewal pro rata.
Cancellation and Refunds
How to cancel. Choose "Cancel subscription" in Settings → Billing, then confirm the cancellation on our Stripe-hosted billing page. Complete cancellation before your next renewal time to prevent that renewal charge. Confirmation stops future automatic renewals immediately; your paid access continues until the end of the term you have already paid for. Cancelling after a renewal does not refund that renewal charge or any unused paid time, except as described in these Terms or required by law.
Your data stays. Cancelling does not delete your data. Your imported executions, positions, notes, and analytics remain available on the free tier; only automated brokerage synchronization stops.
Payments are non-refundable except as described in these Terms or required by law. Nothing in these Terms limits any right to cancel or obtain a refund that the law of the state where you live gives you and that cannot be waived by agreement.
Termination by us. If we terminate your subscription for a material violation of § Acceptable Use, no refund is due. If we end your subscription for any other reason, or discontinue Pro or the Service, we will refund the unused portion of the term you have paid for, calculated pro rata by days remaining, to the original payment method.
Payment disputes. If you dispute a charge with your card issuer, we may pause paid features while the dispute is open. If the dispute is resolved in your favour, the subscription ends and the refund comes through your issuer. If it is resolved in our favour and we keep the payment, we restore the paid term you paid for or refund it — you will not lose both. Disputing a charge does not affect your right to cancel, to request any refund you are entitled to, or to delete your account.
Market Data
Quotes and prices shown in the Service come from third-party market-data vendors (currently Tradier) and are delayed — by at least 15 minutes unless the Service expressly labels them as real-time — and may be further delayed, missing, or stale; the Service marks their status. They are provided for informational and record-keeping purposes only — never as a basis for trading, order routing, or valuing an account — and you may not redistribute them.
Brokerage account data (positions, balances, and transaction history) is retrieved through SnapTrade and reflects your brokerage's own reporting cadence. Most brokerages report about once per day, so new trades usually appear the following day. Your brokerage's records, not Strikepad's, are authoritative for the state of your account.
Unrealized profit or loss, capital at risk, payoff diagrams, coverage indicators, and any other figure that depends on a quote, a brokerage holdings snapshot, or an open position are estimates computed at the time of display from possibly incomplete or stale data. They are not valuations, margin calculations, or tax figures. Do not rely on them for tax, margin, settlement, or trading decisions.
Intellectual Property
The Service, its source code, design, documentation, name "Strikepad", logo, and all related materials are the property of the Service operator. Nothing in these Terms transfers any intellectual-property rights in the Service to you.
You retain all rights in the trade data and any content you import or create within the Service. By using the Service you grant Strikepad a limited, non-exclusive, royalty-free license to host, process, transmit, and display your content solely to operate the Service for you.
Disclaimer of Warranties
The Service is provided "as is" and "as available", without warranty of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy of imported data, completeness of analytics output, or uninterrupted or error-free operation.
Strikepad does not warrant that broker-imported data is accurate or current, that reconstruction or strategy classification is correct in every case, that market quotes (which may be delayed) reflect tradeable prices, or that the Service will be available at any particular time. To the maximum extent permitted by applicable law, Strikepad disclaims all such warranties.
Limitation of Liability
To the maximum extent permitted by applicable law, Strikepad will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including without limitation lost profits, trading losses, missed opportunity, loss of data, or loss of goodwill, even if advised of the possibility of such damages.
In any event, Strikepad's aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the fees you paid Strikepad in the twelve months preceding the event giving rise to the claim and (b) US $100. This section does not limit liability for fraud or wilful misconduct, and does not limit any liability to the extent it cannot lawfully be limited under the law that applies to you.
Indemnification
You agree to indemnify, defend, and hold harmless Strikepad and its operator against any third-party claim, demand, loss, liability, damage, cost, or expense (including reasonable attorneys' fees) arising out of or relating to (a) your breach of these Terms, (b) your misuse of the Service, (c) content or data you import into the Service, or (d) your violation of any law or third-party right, including any applicable securities, tax, or privacy law and any obligation you owe to your broker or to SnapTrade.
Modifications to the Service and to These Terms
Strikepad may modify or discontinue features of the Service at any time; the Service is under active development. If we discontinue Pro or the Service, paid subscribers receive the refund described in § Cancellation and Refunds.
Strikepad may revise these Terms. If a change is material, we will email you at least 30 days before it takes effect and ask you to accept the revised Terms the next time you sign in. A change to the price of a subscription is instead notified as described in § Subscriptions and Billing, between 7 and 30 days before the renewal at which it applies. Until you accept a revised version, the version you last accepted continues to govern your account. If you do not accept a revised version you may cancel any subscription, request any refund you are entitled to, export your data, and delete your account — those functions remain available to you whether or not you accept. Non-material changes — clarifications and corrections that do not reduce your rights — take effect when published with a new effective date.
Electronic Communications
You agree to receive the notices these Terms describe — subscription confirmations, receipts, renewal reminders, price-change and Terms-change notices, refund and cancellation confirmations — by email at the address on your account, to the extent the law allows them to be sent electronically. To use the Service and to receive and keep these notices you need a current web browser, an email account, and the ability to save or print email; you demonstrate that access by verifying your email address, and you confirm your consent to receive notices electronically when you confirm your subscription terms before checkout — a step available only after your email address is verified. If we change those requirements in a way that could affect your ability to receive notices, we will tell you by email, state the new requirements, ask you to confirm that you can still receive notices, and remind you that you may withdraw your consent. Keep your email address current in Settings. A paper copy of any notice is available free of charge on request to support@strikepad.io. You may withdraw your consent to electronic notices by closing your account, which ends the Service. Your subscription confirmation is also available at any time in Settings → Billing.
Termination
You may stop using the Service at any time and may request deletion of your account by emailing support@strikepad.io; see the Privacy Policy for how deletion requests are handled.
Strikepad may suspend or terminate your account immediately, with or without notice, if you violate these Terms, if continued service would expose Strikepad or other users to legal or operational risk, or if the Service is being discontinued. Provisions that by their nature should survive termination — including § Intellectual Property, § Disclaimer of Warranties, § Limitation of Liability, § Indemnification, and § Governing Law and Venue — survive.
Deleting your account cancels any subscription at that moment. We do not refund the unused portion of a term when you delete your account. If a renewal charge is nonetheless made after your deletion request, we refund it. The deletion confirmation screen repeats this.
Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles.
You and Strikepad agree that any dispute arising out of or relating to the Service or these Terms will be brought in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts, except that either of us may bring an individual claim in small-claims court where permitted. If you live outside California, nothing in this section deprives you of the protection of any consumer-protection law of your state that cannot be waived by agreement, and nothing in it requires you to litigate in a forum that such a law makes unavailable.
Contact
Questions, notices, or requests under these Terms or under applicable privacy law (see also the Privacy Policy) should be sent to support@strikepad.io.
Effective Date
These Terms are effective as of October 4, 2026 (version 2026-10-04).
